The donation will be used to cover the entire costs of the improvements. RECOMMENDED ACTION: Motion to approve accepting the donation of $39,999 from the Rosemount Area Hockey Association to be used for the player development area and meeting room in the Rosemount Arena. COUNCIL ACTION: CITY OF ROSEMOUNT EXECUTIVE SUMMARY FOR ACTION CITY COUNCIL MEETING DATE: July 1, 2003 AGENDA ITEM: Facility Use Agreement — RAHA AGENDA SECTION: CONSENT AGENDA PREPARED BY: Dan Schultz, Parks and Recreation Director AGENDA NO.: A D ' G (J ATTACHMENTS: Proposed Use agreement Player Development APPROVED BY: Area and Meeting Room Attached is the proposed 2003 use agreement between the City of Rosemount and the Rosemount Area Hockey Association (RAHA). RAHA has made a donation to pay for the entire cost of a player development area and meeting room in the Rosemount Arena. The City feels that it would be beneficial to allow RAHA to be the only organization besides the City to have access to the two areas being built. RAHA would not pay a fee to use the areas as outlined in the use agreement based on the donation provided to build the improvements. RECOMMENDED ACTION: Motion to approve the 2003 Player Development and Meeting Room Use Agreement. COUNCIL ACTION: ROSEMOUNT PARKS AND RECREATION DEPARTMENT ROSEMOUNT COMMUNITY CENTER USE AGREEMENT This agreement, made this _th day of July 2003, by and between the City of Rosemount, hereinafter called the CITY, and Rosemount Area Hockey Association (address PO Box 225 Rosemount, MN 55068), hereinafter called RAHA. WITNESSETH: The CITY and the RAHA, in consideration of covenants, and agreements herein reserved and contained, do hereby agree with the other as follows: The CITY grants and RAHA accepts use of the Player Development Area and Arena Meeting room portions of the Rosemount Arena, in the City of Rosemount, Dakota County, Minnesota, for a term from August 4, 2003 to December 31, 2008, and as scheduled by the City and subject to rules and requirements adopted by the City for use of the facility. 1. As consideration for the donation of the funds to pay for the Player Development Area and Meeting Room, RAHA will receive use of the said areas at no cost for the duration of this agreement. 2. RAHA shall pay CITY for damages to the premises caused by activities and or persons attending, staffed by, or otherwise affiliated with RAHA. 3. RAHA is responsible to adhere to the general facility rules and to inform members of the rules. 4. RAHA shall provide tables and chairs in the meeting; RAHA will return tables & chairs to original position by the end of each use period. 5. CITY shall not permit RAHA use of office equipment or any other supplies or equipment located in the administrative offices or Community Center storage areas. 6. RAHA agrees not to assign this agreement, or any portion thereof, to or for any other purpose, organization, or party other than RAHA, without first obtaining written consent of CITY. 7. RAHA agrees that no signs or other advertising materials shall be erected or affixed to any portion to the interior or exterior of the premises without the express prior written consent of CITY. RAHA shall request authorization of signage in writing to CITY. 8. RAHA will not make any alterations, repairs, additions, or improvements in or to the premises or add, disturb or in any way change any locks, plumbing, or wiring without the express prior written consent of the CITY. 9. RAHA shall agree to maintain an address other than that of the CITY. All mail for the RAHA shall be directed to the address of the RAHA at all times. RAHA shall agree to maintain a phone number other than any and all phone numbers assigned to the facility of CITY. RAHA shall agree to direct all RAHA calls to any phone number other than nay and all phone numbers assigned to the facility of the CITY. 10. RAHA agrees to and shall abide by, conform to, and comply with all laws of the United States and the State of Minnesota and all of the ordinances of the City of Rosemount, and the rules and regulations of the CITY, together with all rules of the Police and Fire Department from the City of Rosemount. 11. The CITY, the City of Rosemount, its officers and staff, shall not be responsible for any claim whatsoever regardless of kind, occurring during the tenancy of the RAHA and RAHA shall indemnify CITY, the City of Rosemount, its officers and staff, and save them harmless from any and all claims, damages, expenses and liabilities whatsoever arising out of and or during RAHA's use of the premises. Furthermore, the RAHA shall obtain all permits or licenses required by any provision of law, municipal charter or ordinance for the conduct of activity on the leased premises and the CITY shall not be responsible for the RAHA's failure to obtain such permits and licenses or to comply with any other requirements imposed upon RAHA for conduct of activity. 12. RAHA agrees to full responsibility for the character and acts of conduct of all persons admitted to RAHA on the premises, and to have on hand sufficient policing force to maintain order and protect persons and property. 13. CITY reserves the right to cancel this agreement at any time in the event that any emergency arises which shall make necessary the use of the Arena by the City and that no claim for any damage that may result to RAHA from such cancellation shall be asserted or maintained against the CITY. 14. This agreement shall terminate at midnight on December 31, 2008 with no extension or holding over unless the parties have agreed upon terms and a new written lease has been executed. RAHA may terminate this agreement at any time. The may terminate this agreement for cause on thirty (30) days notice to RAHA. } 15. RAHA agrees to maintain adequate liability insurance in an amount no less than $1,000,000, naming the City of Rosemount additionally insured. RAHA agrees to provide property insurance for personal property which it uses or stores on the premises. RAHA shall provide CITY with proof of insurance required by the paragraph. Staff contacted local contractors to offer the opportunity for the contractors to provide a bid on the project. Staff received the following three bids: Minnesota Construction $39,999.00 Berg Construction $52,682.00 Consolidated Builders $54,058.39 Staff recommends receiving the bids and awarding the contract to Minnesota Construction. RECOMMENDED ACTION: Motion to receive bids and award the contract for the construction of the player development area and meeting room in the Arena to Minnesota Construction. COUNCIL ACTION:
