This item is on the agenda for Council to consider approval of a Reimbursement Agreement
with Williams Energy Services for the Rosemount Business Park Phase 2, Street and Utility
Improvements, City Project #308.
The project includes the construction of streets and utilities over the Williams Pipeline. Because
of this, an Encroachment Agreement will need to be prepared by Williams Energy Services and
entered into by the City of Rosemount. The attached Reimbursement Agreement requires that
the City of Rosemount reimburse Williams Energy for all expenses and charges related to their
engineering review, site visits for construction inspection, and preparation and negotiation of
the Encroachment Agreement.
To begin the review process, Williams Energy requires a signed copy of the Reimbursement
Agreement along with other documents as outlined in the letter. The City Attorney has
reviewed the letter agreement and has recommended approval.
RECOMMENDED ACTION: MOTION TO ENTER INTO A REIMBURSEMENT AGREEMENT
WITH WILLIAMS ENERGY SERVICES IN THE ROSEMOUNT BUSINESS PARK PHASE 2
STREET AND UTILITY IMPROVEMENTS, CITY PROJECT #308 AND AUTHORIZE THE
NECESSARY SIGNATURES.

Please be advised that Williams is in receipt of your request for the above development.
If Williams is to consent to the proposed Development and Encroachments within it's
existing easement, it will need to do so through an Encroachment / Reimbursement
Agreement. Our Engineering and Operations personnel will have to make a
determination as to whether or not they can conditionally consent to the proposed
development and encroachments within the easement. To begin the review process we
require a signed copy of this letter accompany your plans being sent to our Engineers. .
In order to make a full impact determination of the effect of the proposal, Williams will
require the following:
✓ Comprehensive blasting plan meeting the requirements of Williams' Damage
Prevention Plan for Blasting near Williams' facilities (if blasting is anticipated).
✓ Three copies of a plan view showing existing grade elevations and proposed final
elevations.
Three copies of comprehensive utility plans, testing and proposed, showing both
underground and overhead utilities.
✓ Three copies of profiles showing any location where utility /pipeline crossing are
being proposed.
✓ Three copies of plans for proposed roads and other structures. Plan view drawing
should show the location of Williams' facilities, all planned structures or
improvements, property lines and any existing structures or improvements.
Three copies of profiles and cross - sections of proposed road, utility. lines or other
structures as they are to cross Williams' facilities. Subcutting depths should also be
indicated.

✓ Three copies of complete landscaping plans.
✓ Three copies of surface composition plans for existing and proposed roadways and
parking lots.
✓ An anticipated date of construction startup.
If available, an AUTOCAD 12, 3.5" diskette, hard copy list of all files, hard copy lists
of layers, including their names, colors, line types and short description of typical
entities contained of each layer should be included. A color -to-pen width list is also
requested to help us plot the drawing correctly. "Awg" or ".dxf' file formats.
Please be advised that we require the following standard warning language to be
conspicuously displayed on all pages of any construction prints that include Williams'
facilities:

Williams' facilities should be accurately reflected on any drawing. If you should have
any doubts as to where Williams' facilities are located or at what depth, please contact
Ronnie Fowlkes at our Pine Bend office at 651437 -3020. When forwarding copies of
the above - described drawings, please forward all copies to me at the above address.
Williams will need to know who will be the responsible party as to the costs of
performing this evaluation, site visits and inspections and, if necessary, in preparing,
negotiating and recording of an agreement. To avoid any delays with our engineering
review and possible preparation of the agreement for this project, Williams requires The
City of Rosemount and /or the current landowner agree to reimburse Williams for all
expenses and charges related to the engineering review, site visits for construction
inspection, and the preparation and negotiation of an agreement for the adjustments of
our facility. These expenses and charges will include, but are not limited to, labor costs
associated with preliminary engineering, document preparation, labor and assorted
charges related to the negotiation of the agreement, legal review and expenses, drafting
work, costs of document recordation, outside survey work; travel expenses and labor
costs associated with site visits, if any miscellaneous expenses, overhead and taxes. If
this project should be "cancelled ", put "on hold" or delayed for any significant amount of
time, The City of Rosemount and/or the landowner agree that Williams may invoice them
for all expenses and charges to date and The City of Rosemount and/or the landowner
shall promptly pay to Williams for all appropriate expenses and charges which may
exceed said deposit.
