SKB Environmental is in the process of purchasing the industrial landfill on Highway 55 from
Safety Kleen. City Council consent is needed for SKB to take over the requirements of the
Interim Use Permit, Trust Agreement and Development Commitments. Staff has reviewed the
request and has found the request to be acceptable; however, the city attorney will need to review
documentation which shows they will assume all responsibilities of the agreements.
This is before the City Council this evening as an informational item so the City Council can be
introduced to SKB, ask questions or request additional information from SKB. Prior to Council
action the City Council should feel comfortable that they are a responsible operator and staff
suggest SKB provide the City Attorney appropriate documentation that shows they will assume
all responsibilities of the facility and all agreements that are in place.
If Council is comfortable with the request, Council should direct staff to prepare a resolution
approving the amendments to existing contracts for the April 18' Council meeting.

Dear Mr. Burt:
SKB Environmental, Inc. is in the process of purchasing the Minnesota Industrial
Containment Facility located in the City of Rosemount from the Safety -Kleen
(Rosemount) Inc. and therefore is requesting the City of Rosemount to approve amending
all contracts and agreements that the City of Rosemount has with the present owner,
Safety -Kleen (Rosemount) Inc., changing the name to SKB Environmental, Inc.
contingent upon the conclusion of the sale.
SKB Environmental, Inc. is requesting only the name change and agrees to comply with
all the conditions of the existing agreements and contracts that Safety- Kleen,
(Rosemount) Inc. presently has with the City of Rosemount which we understand to
include the following:
• Interim Use Permit Agreement
• < Trust Agreement
• Development Commitment
We appreciate approval of this amendment so that we can proceed with the completion of
the purchase. Thank you.
