RESOLUTION 1993-5
A RESOLUTION OF THE ROSEMOUNT PORT AUTHORITY ACCEPTING
THE MUI�LER FAMII.Y THEATERS, INC. PROPOSAL
WHEREAS, the Rosemount Port Authority, through its staff, has established certain c�riteria
under which it would consider the provision of assistance to individuals ar businesses
interested in building and operating a movie theater complex in Rosemount; Minnesota;
WHEREAS, Guetschoff Theaters, Inc. ("GTI") and Muller Family Theaters ("Mullers")
have submitted written responses to said criteria;
WHEREAS, GTI and the Mullers have met with Rosemount Port Authority staff and legal
and fmancial consultants in order to further explore and extrapolate upon the written
responses of GTi and the Mullers;
WHEREAS, Steve Jilk and John Miller, Port Authority staff, have prepared and submitted a
staff report da.ted August 2, 1993 to the Port Authority recommending selection of a proposal
for the construction and operation of a theater complex ("Staff Report"); and
WHEREAS, the members of the Rosemount Port Authority have studied the responses
submitted by GTI and the Mullers and the Staff Report.
BE IT FLTRTHER RESOLVED by the Rosemount Port Authority as follows:
1. The Staff Report is received by the Rosemount Port Authority and the
statements and conclusions in the Staff Report are adopted by the Rosemount
Port Authority as its findings as to the selection of a proposer to construct and
operate a theater complex in the City of Rosemount, Minnesota.
2. Accordingly, the proposal submitted by the Mullers, as further developed and
clarif'ied by the Staff Report, is selected and accepted by the Rosemount Port
Authority, subject to the following specific conditions:
A. The meeting of all fmancial and other conditions set forth in the Staff
Report.
B. The prompt submission of cash, tangible assets and personal guaxantees
as enumera.ted in the August 2, 1993 Staff Report.

C. The negotiations and full execution of a Development Agreement
between the Mullers and the Rosemount Port Authority by no later than
August 17, 1993, which Agreement sets forth and makes specif'ic, the
conditions set forth in the Mullers' proposal as further developed and
clarif'ied in the Staff Report, and such other conditions and
requirements as the staff and legal and fmancial advisors to the
Rosemount Port Authority deem appropriate.
D. The approval of the Agreement described in Section 2 (C) above, by
the Rosemount City Council.
ADOPTED this 3rd day of August, 1993.
