The state law authorizing the establishment of the Rosemount Port Authority
required that a resolution be adopted by the City Council actually
establishing the Rosemount Port Authority and certifying that to the
Secretary of State.
The certification was not processed when the City Council passed the
resolution. It was not until August of 1992 that our Bond Counsel caught
this error and the City then complied with this requirement.
Because the Port Authority took action on various issues prior to August 31
of 1992 it is necessary for the City Council to formally "ratify and
confirm" all those actions. This action will put a stamp of approval on any
actions taken between February 1, 1992 when the Port Authority was
established until August 31, 1992 when the resolution was certified to the
state.
RECOMMENDED ACTION: MOTION TO ADOPT RESOLUTION #1992

Enclosed is the resolution which I discussed with Jeff May in a telephone
conversation today. The resolution ratifies all actions taken by the City Council
in establishing the Port Authority. I would like this resolution adopted since
certain actions were taken prior to the effective date of the special law.
Please have the enclosed resolution considered by the City Council on
Tuesday, November 17, and return an executed copy of the, resolution to me.

RESOLUTION 1992 -
A RESOLUTION RATIFYING PREVIOUS ACT
TAKEN WITH RESPECT TO THE ESTABLISH
OF THE ROSEMOUNT PORT AUTHORITY
WHEREAS, the Laws of Minnesota, 1991, Chapter 29j, Article 21,
Section 17, (the "Act") authorized the City of Rosemount to
establish a port authority commission to exercise the powers of a
port authority;
WHEREAS, the Act provided that it was effective the day following
approval of the Act by the City Council of Rosemount and the
filing of the resolution with the Minnesota Secretary of State;
and
WHEREAS, the City Council has hereto adopted a resolution
approving the Act and on August 31, 1992, the resolution was
filed with the Secretary of State.
NOW, THEREFORE, BE IT RESOLVED that all actions heretofore taken
by the City Council with respec to the establishment of the
Rosemount Port Authority includ ng, but not limited to, the
holding of a public hearing on he establishment',of the Rosemount
Port Authority, and the adoption of Resolution No. 1991-53 and
Resolution No. 1991-76 are here y ratified, confirmed and
approved.
