Attached is a copy of the cost sharing agreement with Da ota County
for the construction of a traffic signal at the intersection of
Shannon Parkway and County Road 42. The County plans to construct the
signal this summer. Funds for our share of the signal are
reimburseable through Municipal State Aid Street funds.
RECOMMENDED ACTION: Motion to approve the Cost Sharing Agreement with
Dakota County for the installation of a traffic signal at Shannon
Parkway and County Road 42 and authorize the Mayor & Clerk to sign the
agreement.

Approved.

Attached are three copies of an agreement between the city and the
county for cost sharing for the installation of a traffic signal
at Shannon Parkway and County Road 42. I have reviewed the
agreements and would recommend that council approve them at the
February 5, 1991 meeting.
Our funding for 500 of the costs,estimated at $40,000, would be
reimbursed through MSA funds because Shannon Parkway is a municipal
state -aid street.

TRAFFIC SIGNAL AGREEMENT NO. 91-03
BETWEEN
THE COUNTY OF DAKOTA
AND
THE CITY OF ROSEMOUNT
FOR
DAKOTA COUNTY PROJECT NO. 42-57
TO
Install a permanent traffic control signal with street lights on
County State Aid Highway 42 at Shannon Parkway in accordance with
the plans and specifications for the above referenced project in
Rosemount, Dakota County.

THIS AGREEMENT, made and entered into by and between the County
of Dakota, hereinafter referred to as the "County", and the City
of Rosemount, hereinafter referred to as the "City", WITNESSETH:
WHEREAS, it is considered mutually desirable to install a
permanent traffic control signal with street lights on CSAH 42 at
Shannon Pkwy. in accordance with the plans and specifications for
County Project No. 42-57; and
WHEREAS, the County and City will jointly participate in the
cost, maintenance and operation of said traffic control signal
with street lights as hereinafter set forth.
NOW, THEREFORE, BE IT AGREED AS FOLLOWS:
1. Engineering_ The County shall prepare the necessary
plans, specifications, and proposals and shall perform the
engineering and inspection required to complete the items of work
hereinafter set forth. Such work as described immediately above
shall constitute "Engineering and Inspection" and shall be so
referred to hereinafter. The County agrees to process the Plans
for Municipal State Aid approval and to obtain said approval
Prior to performing the work herinafter set forth.

2. Construction Costs. The contract cost of the work and,
if portions of the work are not contracted, the cost of all
labor, materials, and equipment rental required to complete the
work shall constitute the actual "Construction Cost" and shall be
so referred to hereinafter.
3. Signal Installation. The County, with its own forces
and equipment, and/or by contract shall install a permanent
traffic control signal with street lights in accordance with
County Project No. 42-57 with the construction, and engineering
and inspection costs shared by the County and City as follows:
Signal System - CSAH 42 at Shannon Pkwy.
Estimated Construction Cost = $80,000.00
County's Share = 509
City's Share = 50%
4. Payment. Upon execution of this agreement, award of a
contract for signal installation and a request in writing by the
County, the City shall advance to the County an amount equal to
their share of the cost based on the actual bid price. Upon
final payment to the Contractor and computation of the City's
share for the work provided for herein, that amount of the funds
advanced by the City in excess of their share shall be returned

to them without interest and the City shall pay to the County
that amount of their share which is in excess of the amount of
the funds advanced by them. The City shall make payment to the
County for the invoiced amounts within thirty (30) days.
5. Engineering Costs. Upon completion of the work and
computation of the County's engineering costs, the County shall
invoice the City for their share of the engineering and
inspection costs incurred by the County. The City shall make
payment to the County for the invoice amount within thirty (30)
days.
6. CountY_Furnished Materials. Materials and equipment
furnished by the County for construction of the signal system
shall be considered part of the signal installation costs
referred to in paragraph 3. above. Upon completion of the work
and computation of the cost of County furnished materials, the
County shall invoice the City for their share of the cost of
materials furnished by the County. The City shall make payment
to the County for the invoice amount within thirty (30) days.
7. Signal Energy. Upon completion of said traffic control
signal installation, the County and City shall be responsible for

providing the necessary electrical power for the operation of the
traffic control signal (except street lights) as follows:
Signal System - CSAH 42 at Shannon Pkwy.
County's Share = 50%
City's Share = 50%
8. Signal Maintenance. Upon completion of said traffic
control signal installation, the County shall maintain and keep
in repair the signal system, except street lights at the cost and
expense of the County.
9. Street Lights_ Upon completion of said traffic control
signal installation, the City shall provide the necessary
electrical power for the operation of the street lights and
maintain the street lights, all at the cost and expense of the
City.
10. Timing. Timing of the new traffic control signal
system provided for herein shall be determined by the County
Engineer through the County Traffic Engineer, and no changes
shall be made thereon except with the approval of the County.
11. Indemnification. The County agrees to defend,
indemnify, and hold harmless the City against any and all claims,

liability, loss, damage, or expense arising under the provisions
of this Agreement and caused by or resulting from its negligent
act or omissions and/or those of its employees or agents. The
City agrees to defend, indemnify, and hold harmless the County
against any and all claims, liability, loss, damage, or expense
arising under the provisions of this Agreement and caused by or
resulting from its negligent act or omissions and/or those of its
employees or agents.
12. Waiver. Any and all persons engaged in the aforesaid
work to be performed by the County shall not be considered
employees of the City and any and all claims that may or might
arise under the Worker's Compensation Act of this State on behalf
of said employees while so engaged, and any and all claims made
by any third party as a consequence of any act or omission on the
part of said employees while so engaged on any of the work
contemplated herein shall not be the obligation or responsibility
of the City. The County shall not be responsible under the
Worker's Compensation Act for any employees of the City.
IN WITNESS THEREOF, the parties hereto have caused this
agreement to be executed by their duly authorized officials.
