Limerick Crossing, 32 units of Rental Townhouses. Encloscd wilh this rcview are
copies of the Limerick Crossing Finai Plat and Site Plan. Also included are
copies o#' a Resolution authoricing Final Ptat approval, a Zaning Ordinance
Amendment, and the Limerick Crossing Development Contract.

The City Council of the City of Rosemount, Minnesota ordains as
follows:
SECTION I. Ordinance Na. XVII.3, adopted October 19, 1972, entitled,
"ZONING ORDINANCE,VILLAGE�F RQS�MOUNT,DAI�OTA COUNTY,
MINNESOTA," is hereby ameaded to rezone from Agricutture Distriet to
RM Residential Multiple the following described property located within '
the City of Rosemount, Minnesota, to-wit:
That property described as Limerick Crossing.
SECTION II. The Zoning Map of the City of Rosemount referred to
and described in said Ordinance No. XVII.3 as Ehat certain map entitled,
"ZONING MAP, VILLAGE OF ROSEMOUNT, MINNESOTA," shall not be
repubtished to show the aforesaid rezoning, but the Clerk shall
-- - appropriately mark the said zoning map on file in the Clerk's Office for
the purpase of indicating the rezoning hereinabove provided for in this
Ordinance anc! all of the notation references and oiher information
shown thereon are hereby incorporated by referenc�e and made a part of
this Ordinance.
SECTION III. This Ordinance shall be in full force and effect frarn and
after its publication according to law.

AGREEMENT dated , 1989, by and between Ehe
CITY OF ROSEMdUNT, a Minnesota municipal corporation, ("City"), and
Limerick Crossing Partners., a Minnesota corporation, (the "beve2oper"). ��
1. Request for Plat Approval. The Devetoper has asked the City ta
approve a plat of land to be known as LIMERICK CROSSING, (also referred
to in this Contract as the "plat"). The lana is legally described on the
attached Exhibic "A".
� 2. Condition of Plat Appraval. The City hereby approves the plat
on cnndition that the Developer enter into this Contract and furnish the
security required by it.
3. Effect of Subdivisioa Approval. For two (2) years from the date
of this Contract, no amendments to the City's Comprehensive Plan, except an
amendment ptacing the plat in the current urban service area, or official
controls shall apply to or affect the use, deveiopment density, lot size, lot
� layout or dedications o€ the approved �tat unless rcquired by state or federal
law or agreed to ia wxiting t�y thc City and the Dcveloper. Thereafter,
notwithstanding anything ia this Contract to the contrary, to the full extent
permitted hy state law the City may require compliancc with any amendments

4. Development Flans, The p}at shal! be devetoped in accordance
with the following plans. The plans shall not be attacheci to this ContracL
With the exception of Plan A, the plans may be prepared, subject to Ci[y
approral, after entering the Coniract, but before coramencement of any work
in this plat. If the plans vary from the written terrns of this Contrac[, the
written terms shall controi. The plans are:

Plan B--Pfans and Specifications for Public improvements
Plan C--Grading Plan

5. Installation of Public [mprnvrments. The City shall design and
� install the following irnpravemenEs wilhin the plat:
A, Watermain
The Developer shall be required to complete a11 site grading prior
to the instai{ation af public improvements.
6. Private Improvements. The Developer shall install in accordance
with City ordinances and standards ancl pay for the follawing in accordance
with the referenced completion dates:

B. Surveying and Staking
C. Setting af Lot and Block Monurnents (completed before first
sale of a lot by the Developer)
D. Gas, Electric, Phone Utilities and Cable Television� if cable

of public improvements by the Ci[y. The license shatl expire after the plat
bas been developed.
9. Landscapiag. Pxior [o the City allowing occupancy of any units
all plant materials indicated in the Landscaping Plan with [he exception of
those referenced as future plantings shail be instalied to the satisfacEion of
the City Engineer.
10. Clean up. The Developer shai! clean dirE and debris from streets
that has resulted from construction work by the Developer, its agents or
assigns, within 24 hours after notice by the City.
ii. Ownerabip ai lmpravements. Upon campletion of tbe wark and
construction required by this Contract, the improvements lying within public

easements shall become Cily property without further notice or action.
12. Security. The Developer shall furnish the City with a cash
escrow or irrevocable letter of credit for $22,SOQAO. The amount was
catculated as follows:

The baak and form of the letter of credit shall be subject to the approval c�f
the City Administrator. The tetter of credit shall be for a term endin�
December 31, 1992. In the alternative, the tetter of credit may be for a one
year term provided it is automatically renewable for successive one year
periods from the present or any future expiration dates with a final
expiratian date of December 31, 1992, unless sixty (60} days prior to an
expiration date the bank notifies the City that it elects not to renew for an
additional period. Tl�e letter of credit shall secure compliance with the terms
nf this Contract, payment of special assessmen[s and all financial obligations
of the Developer under it. The City m�y clraw dc�wn on the�tetter of credit

without notice upan receiving notice [hat the leuer :of credit will be allowed
to lapse before December 31, 1992. In the event of a defautt under this
Development Contract by Ehe Developer, the City shall furnish [he Developer
with written noEice by certified mail of Developers clet�aull(s) under the terms
of this Development Contract: If 'the Developer does riot"'c�mo�e said
default(s} within two (Z} weeks of receiving notice, Che City may draw on the
lelter of credit. With City approval the letter of rrcdit may be reduced from
time to time as special assessments and other financial obligations are paid
and public improvemenCs are completed to the City's requirements.
13. Assessment of CQsts. The City shall �ssess the cost of the
public improvements referred to in Paragraph 5 together with administrative,
planning, engineering, capitalized interest, legat and bonding costs against the
plat. The assessments shall be deemed adopted on the date this Contract is
signed hy the City. The assessrnents shall be paid over a 5-year period
without deferment, together with interest at a rate set by the City. The
Developer waives any aud all procedural and substantive objectians to the
' installation of the public impravemcnts ancl the special assessments, incluciing
but not limited to hearing requirements and any claim that the assessments
exceed the benefit to the property. The Developer waives any appeal rights

twelve (12) months from the time of planting. The Developer shall post
maintenance bonds or other security acceptable to the City to secure the
warranties.

15. Responsibility for Cosis.
A. Excepi as otherwise specified herein, the Developer shall pay
all costs incnrred by it or the C;ity in conjunction with the development of
the plat includiag, but not limited to, Soil and Water Conservation District '
char$es, legal, planning, engineering and inspecti�n expenses ineurrtd in
cannectien wlth �pproval at�d acceptaace of the plat, th� pr�paratlQn pf this
.Gantr�ct, and aU costs and expenses incucrcd by thc City in manitaring �nd
inspecting development of the plat.
B. The Developer shall hold the City and its officers and
employees harmless from elaims made by itself and third parties for damages
sustained or costs incurred resulting from plat approval and development.
The Developer shall indemnify the City and iEs officers and empioyees for all
costs, damages or expenses which the City may pay or incur in consequence
of such claims, including attorney's fees.
C. The Developer shall reimburse the City for costs incurred in
the enforcement of this Contract, including engineering and attorney's fees.
D. The �eve}oper sha!! pay in full all bills submitted to it by
the City for obligations incurred under this Contract within [hirty {3Q) days
after receipt. If the bills are not paid on tirne, the City may halt plat
development work and construction including, but not timited to, the issuance

of building permits, until the bills are paic3 in full. Bills not paid within
thiriy (30) days shal! accrue interest a� Ehe rate of 8��o per year.
E. In �additiod to the charges referred to herein, �oth'�er charges
and special assessments may be imposed such as, but not Iimited to, sewer
availability charges ("S.A.C,"), rity watex c�nnecticrn charges, city sewer
connection charges and building permit fees.
F. The Developer shall make a cash contribution to the City of
Tea Thousand �'wo Hundred Forty and 00/100 ($10,240.00) Doilars for park
dedicatian before the City issues any Buitciing P�rmits for the ptat.

G. The Developer shall provide a cash escrow to the Ci[y of
Five Thousand and 00/li)� ($5,001).�0) Daltars co fund Future construction of
ped�strian trail atong the plat's frontage on Dodd Baulevard before the City
issues any Building Permits for the plat.
H. The Developer represents any taxes or assessments on the
property subject to this Agreement that are not �eferred under MinnesQta
Statates Annotated 273.111 (commonly called Green Acres). The Developer
agrees that it wiil not make application for deferred taxes or assessraents
under TNinnesota Statu[es Anna[ated 273.11 L
16. Buildin� Permits. Nn huilding �ermits shall be issued until:
A. The site grading has becn cc�mrlrtcJ and approved 6y the
(:ity.
B. The City Engineer has certified that the timetabte for
c�nstruction of public im�rovements is ccfmpatihle with private home
construction.
C. The Developer, in executing this A�,rcement, assumes all
liability and costs for damage or delays, incurred hy the City, in the
construction of public improvements, caused by the Developer, its employees,
conCractors, swbcontractors, materialmen ar agents. No occupancy permiis
shall be issued until the public utilities referred to in paragraph $ are in and
approved by the City, unless .otherwise authorized in writing by the City
�ngineer.
11. Developer's Default. In the event of default by the Developer as
to any af the work to be performe�l by it hireunder, the City may, at its

option, perfarm the work and the Developer shall promptly reimburse the City
for any expcnse ineurred by the C;ity, prc�vided the Deuetoper is first given
notice of the work in default, not less than 48 hours in advance. This
Contract is a license for the City to aec, and il shall n�[ be necessary for
the City to seek a court order for permissi�n to enxer the land. When the

' assess the cost in whole ar in part.
18. Miscetlaneous.
A. The Develo�er represents ta the (:ity that the plat complies
with all city, eaunty, mecropolitan, state and federal laws and regulations
inclutling, but not limited [a: subdivision �rdinances, zc�ning ordinances and
cnvir��nmcntal regulations. If tl�c ('iiy �lclermi��r�; tl�at thc �rlut cic�cs not
cc>t»E�ly, the City may, al its u�rlic���, r�i'usc to a11ow cc�nStruCtlUn oc
development work in the plat untit lhe Developer does comply. Upon the
City's demand, the Developer shall cease work untiC there is coraptiance.
B. Third parties shatl have no recourse a�ainst the City under
this Contract.
C. Breach of the terms of this Contract by the Developer shall
be grounds for denial of building permits, inciuciin� IoEs sold to third parties.
D. If any portion, section, subsection, sentence, clause,
paragraph or phrase af this Contract is far any reason held invalid, such
decision shall noC affect the validiry of thc remaining portion af this
Con[ract.
E, If .building permits �re. issu�d :prior to� the,,�C���leti�n and
acceptance of public impravementst the Develo�er �ssumes �11 fiability and
costs resulting in delays in complelion of publir improvemenxs and damage ta
pubtic improvements caused by the City, Developer, its contractors,
subcontractors, materiairnen, empioyees, a�ents or third parties. No one may
occupy a building for which a huilding permit is issued on either a temporary
or permanent basis unti( parking areas neecied fnr access have beea paved
with a bituminous surface.
F. The action or inaction of the Ci#y shall not constitute a
waiver or amendment to the provisions of ihis Con[ract. Ta be binding,
amendments or waivexs shatl be in writing, signed by the parties and approved

by written resolution of the Gity C:ouncil. The City's failure ta promgtly take
legal action to enforce this Contract shall not be a waiver or release.
G. The L7eveloper represents to the City [o the best of its
knowledge tbat the plat is not of "metropo(itan significance" and that an
enviroamenta! impact statement is not required. If the City or another
governmental entity or agency cletermines that such a review is needed,
however, the Developer shall prepare it in compliance with legal requirements
so issued from the agency. The Developer shall reimburse the City for all
� expenses, including staff time and attorney's fees, that the City incurs in
assisting in the preparation of the review.
H. This Contract s..hall ru,n with the land and m.�y,�l�e r�corded
agaiast the title to the property. After the Developer has campleted the
work required of it under this Contract, at the Develaper's request, the City
will execute and deliver to the Devetoper a release.
I. Each righC, power or remedy herein conferred upon the City
is cumulative and in addition to every other right, power or remedy, express
or implied, now or hereafter arising, available to the City, at law or in
equity, or under any other agreement, and each and every right, power and
remedy herein set forth or otherwise so existing may be exercised from time
to time as often and in such order as may be deemeei ex�edient by the City
and shall not be a waiver of Ehe right to exercise at any time thereafter any
other right, power or remedy.
